  20. <LI><A HREF="#part1">Part I</A> applies if you have not paid license fee to the PocketTV
  21. software (the "Software") and have not aquired the Software bundled
  22. with a product that has a valid redistribution license.

  24. <LI><A HREF="#part2">Part II</A> applies if you have paid the applicable license fees or
  25. have aquired the Software bundled with a product that has a valid
  26. redistribution license.
  27. <P>
  28. <LI><A HREF="#part3">Part III</A> applies to all license grants.  If you initially acquired
  29. a copy of the Software without purchasing a license and you wish to
  30. purchase a license, contact MpegTV LLC ("MpegTV") on the Internet
  31. at <A HREF="http://www.mpegtv.com/">http://www.mpegtv.com</A> or email <A HREF="mailto:sales@mpegtv.com">sales@mpegtv.com</A>.

  36. If you have not paid the license fee, this license grants you only the right for 
  37. evaluation of the software (<A HREF="#part1">Part I</A> and <A HREF="#part3">Part III</A>) limited to the duration of the evaluation period defined in <A HREF="#part1">Part I</A>. After this period, you must "purchase the software" i.e. pay the licence fee. If you don't, your organization could be liable for significant damages.

  44. <H2>PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID</H2>

  48. MpegTV grants you a non-exclusive license to use the Software
  49. free of charge only if you use the Software for the purpose of
  50. evaluating whether to purchase an ongoing license to the Software.
  51. <P>
  52. <B>On Pocket PC, Smartphone and on all WinCE 2.11 platforms:</B>
  53. <P>
  54. The evaluation period for strictly personal use is <B>not limited</B>. 
  55. The evaluation period for any other use (which includes, but is not limited to, the activities of any commercial entity or government agency) is <B>7 days</B>.
  56. <P>
  57. <B>On all other platforms (including but not limited to H/PC 2000):</B>
  58. <P>
  59. The evaluation period is <B>7 days</B>.

  61. If you are using
  62. the Software free of charge, you are not entitled to support or
  63. telephone assistance.  If you fit within the description above,
  64. you may use the Software in the manner described in Part III below
  65. under "Scope of Grant."

  69. <H2>PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID</H2>

  79. <H2>PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS</H2>

  83. <H3>SCOPE OF GRANT</H3>

  85. You may:

  88. <LI>use the Software on any single computer;
  89. <LI>use the Software on a network, provided that each person accessing
  90.   the Software through the network must have a copy licensed to that
  91.   person;
  92. <LI>use the Software on a second computer so long as only one copy is
  93.   used at a time;
  94. <LI>copy the Software for archival purposes, provided any copy 
  95.   must contain all of the original Software's proprietary notices; or
  96. <LI>if you have purchased licenses for N copies, make up to N copies
  97.   of the Software, provided any copy must contain all of the original
  98.   Software's proprietary notices.  The number of copies is the total
  99.   number of copies that may be made for all platforms.

  107. <LI>permit other individuals to use the Software except under the terms

  110. <LI>modify, translate, reverse engineer, decompile, disassemble
  111.   (except to the extent applicable laws specifically prohibit such
  112.   restriction), or create derivative works based on the Software;
  113. <LI>copy the Software other than as specified above;
  114. <LI>rent, lease, grant a security interest in, or otherwise transfer
  115.   rights to the Software; or
  116. <LI>remove any proprietary notices or labels on the Software.

  120. <H3>DISCLAIMER OF WARRANTY</H3>
  121.  
  122. Software is provided on an "AS IS" basis, without warranty of any
  123. kind, including without limitation the warranties of merchantability,
  124. fitness for a particular purpose and non-infringement. The entire
  125. risk as to the quality and performance of the Software is borne
  126. by you.  Should the Software prove defective, you and not MpegTV
  127. assume the entire cost of any service and repair. In addition, the
  128. security mechanisms implemented by MpegTV software have inherent
  129. limitations, and you must determine that the Software sufficiently
  130. meets your requirements. This disclaimer of warranty constitutes
  131. an essential part of the agreement. SOME JURISDICTIONS DO NOT ALLOW
  132. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY
  133. TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY JURISDICTION.

  136. <H3>TITLE AND INTELLECTUAL PROPERTY RIGHTS</H3>

  138. Title, ownership rights, and intellectual property rights in the
  139. Software shall remain in MpegTV and/or its suppliers. The Software
  140. is protected by the copyright laws and treaties.  MpegTV does not
  141. represent or warrant that the Software is free of infringement
  142. of third-parties rights. Commercial implementations of MPEG-1
  143. decoders are subject to royalty fees to patent holders.  Many of
  144. these patents are general enough such that they are unavoidable
  145. regardless of implementation design, and some may apply to software
  146. implementations.
  147. <P>
  148. You shall indemnify MpegTV against claims, proceedings and expenses
  149. arising from infringements occasioned by your use of the Software, in
  150. conjunction with other apparatus or software not supplied by MpegTV.
  151.  
  152. <H3>CONTENT ACCESSED THROUGH SOFTWARE</H3>
  153.  
  154. Title and related rights in video, audio, and other content accessed
  155. through the Software is the property of the applicable content
  156. owner and may be protected by applicable law.  This License gives
  157. you no rights to such content, and MpegTV disclaims any liability
  158. for misuse of content.
  159.  
  160. <H3>REGISTRATION INFORMATION</H3>
  161.  
  162. You agree to register each copy of the Software by filling-up
  163. the registration form located on the MpegTV Website.  You agree
  164. to provide the following information to MpegTV when registering:

  174. <H3>TERMINATION</H3>

  176. The license will terminate automatically if you fail to comply with
  177. the limitations described herein.  On termination, you must destroy
  178. all copies of the Software and Documentation.
  179.  
  180. <H3>EXPORT CONTROLS</H3>
  181.  
  182. None of the Software or underlying information or technology may
  183. be downloaded or otherwise exported or reexported (i) into (or to a
  184. national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea,
  185. Iran, Syria or any other country to which the U.S. has embargoed
  186. goods; or (ii) to anyone on the U.S. Treasury Department's list of
  187. Specially Designated Nationals or the U.S. Commerce Department's
  188. Table of Denial Orders. By downloading or using the Software,
  189. you are agreeing to the foregoing and you are representing and
  190. warranting that you are not located in, under the control of,
  191. or a national or resident of any such country or on any such list.
  192.  
  193. <H3>LIMITATION OF LIABILITY</H3>
  194.  
  195. UNDER NO CIRCUMSTANCES AND IN NO EVENT AND UNDER NO LEGAL THEORY,
  196. TORT, CONTRACT, OR OTHERWISE, SHALL MPEGTV OR ITS SUPPLIERS OR
  197. RESELLERS OR MANUFACTURERS OR SUBCONTRACTORS BE HELD RESPONSIBLE
  198. OR LIABLE FOR ANY LOST REVENUES, LOST PROFITS, LOST DATA, OR
  199. OTHER SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGE OR FOR
  200. LOSS, DAMAGE OR EXPENSE DIRECTLY OR INDIRECTLY ARISING OUT OF THE
  201. PERFORMANCE OF THE AGREEMENT OR FROM YOUR OR ANY OTHER PARTY'S
  202. USE OF OR INABILITY TO USE THE SOFTWARE EITHER SEPARATELY OR IN
  203. COMBINATION WITH OTHER EQUIPMENT OR FOR COMMERCIAL LOSS OF ANY
  204. KIND, EVEN IF MPEGTV OR ITS SUPPLIERS ARE ADVISED IN ADVANCE OF THE
  205. POSSIBILITY OF SUCH DAMAGES, NOR SHALL MPEGTV OR ITS SUPPLIERS BE
  206. HELD LIABLE FOR ANY AMOUNT IN EXCESS OF THE AMOUNT ACTUALLY PAID BY
  207. YOU TO MPEGTV UNDER THIS AGREEMENT.  MPEGTV AND ITS SUPPLIERS SHALL
  208. NOT BE HELD TO ANY LIABILITY WITH RESPECT TO ANY CLAIM BY A THIRD
  209. PARTY ON ACCOUNT OF OR ARISING FROM THE USE OF OR THE INABILITY
  210. TO USE THE SOFTWARE.  YOU ASSUME ALL RISKS AND LIABILITY FOR LOSS,
  211. DAMAGE OR INJURY TO YOU OR TO YOUR OR OTHERS PROPERTY ARISING OUT
  212. OF USE OR POSSESSION OF THE SOFTWARE.  THIS PARAGRAPH SHALL SURVIVE
  213. FAILURE OF AN EXCLUSIVE REMEDY.
  214.  
  215. <H3>HIGH RISK ACTIVITIES</H3>
  216.  
  217. The Software is not fault-tolerant and is not designed, manufactured
  218. or intended for use or resale as on-line control equipment in
  219. hazardous environments requiring fail-safe performance, such as in the
  220. operation of nuclear facilities, aircraft navigation or communication
  221. systems, air traffic control, direct life support machines, or weapons
  222. systems, in which the failure of the Software could lead directly to
  223. death, personal injury, or severe physical or environmental damage
  224. ("High Risk Activities").  MpegTV and its suppliers specifically
  225. disclaim any express or implied warranty of fitness for High Risk
  226. Activities.

  228. <H3>MISCELLANEOUS</H3>
  229.  
  230. If the copy of the Software you received was accompanied by a printed
  231. or other form of "hard-copy" End User License Agreement whose terms
  232. vary from this Agreement, then the hard-copy End User License
  233. Agreement governs your use of the Software.  This Agreement represents
  234. the complete agreement concerning this license and may amended only by
  235. a writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE
  236. ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO
  237. THE TERMS SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If
  238. any provision of this Agreement is held to be unenforceable, such
  239. provision shall be reformed only to the extent necessary to make it
  240. enforceable.  This Agreement shall be governed by California law
  241. (except for conflict of law provisions). The application the United
  242. Nations Convention of Contracts for the International Sale of Goods is
  243. expressly excluded.
  244. <P>
  245. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or disclosure by
  246. the Government is subject to restrictions set forth in subparagraphs
  247. (a) through (d) of the Commercial Computer-Restricted Rights clause at
  248. FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the
  249. Rights in Technical Data and Computer Software clause at DFARS
  250. 252.227-7013, or at 252.211-7015, or to MpegTV's standard commercial
  251. license, as applicable, and in similar clauses in the NASA FAR
  252. Supplement. Contractor/manufacturer is MpegTV LLC, 25 Baker Str
